4. QUOTE REQUESTS AND PRICING
Quote Requests
When you submit a quote request through our website or contact us directly, we will provide pricing information based on current market conditions, product availability, and your specified requirements. Quotes are valid for the period specified in the quote, typically 7-14 days, unless otherwise stated.
Pricing
All prices are quoted in US Dollars (USD) or other agreed currency on an FOB (Free on Board) Nigerian port basis unless otherwise specified. Prices do not include freight, insurance, destination port charges, customs duties, or taxes unless explicitly stated.
Prices are subject to change based on market conditions, exchange rate fluctuations, and product availability. Final pricing is confirmed upon order acceptance.
No Obligation
Quote requests do not constitute a binding agreement. Neither party is obligated to proceed with a transaction until a formal purchase order is accepted by us.
5. ORDER PROCESS AND ACCEPTANCE
Purchase Orders
Formal business transactions require a written purchase order specifying product details, quantities, pricing, delivery terms, and payment terms.
Order Acceptance
We reserve the right to accept or decline any order at our discretion. Order acceptance is confirmed in writing via email or formal proforma invoice. An accepted order constitutes a binding contract between the parties.
Order Modifications
Once an order is accepted and processing has begun, modifications may not be possible. Any requested changes will be evaluated on a case-by-case basis and may incur additional costs.
6. PAYMENT TERMS
Standard Payment Terms
For new customers, standard payment terms are:
- 50% deposit upon order confirmation
- 50% balance before shipment
Alternative Payment Terms
Established customers with proven payment history may negotiate different payment terms, including:
- Letter of Credit (LC) arrangements
- Extended payment terms for regular clients
- Other mutually agreed payment structures
Payment Methods
We accept payment via international bank transfer (wire transfer) to our designated Nigerian bank account. Payment details are provided in the proforma invoice.
Late Payments
Late payments may result in shipment delays and may incur interest charges or additional fees as specified in the contract.
7. PRODUCT QUALITY AND SPECIFICATIONS
Quality Standards
We strive to supply products meeting the specifications agreed upon in the purchase order. All products undergo quality inspection before shipment.
Samples
Product samples can be provided before bulk orders (buyer pays courier costs). Sample approval does not guarantee that bulk shipments will be 100% identical due to natural variations in agricultural products.
Quality Disputes
Quality claims must be made within 7 days of container arrival at destination port, with supporting evidence including photos, laboratory test results, or third-party inspection reports. We will investigate claims and work toward fair resolution.
Natural Variations
Agricultural and food products are subject to natural variations. Minor differences in color, size, or appearance do not constitute quality defects unless they fall outside agreed specifications.
8. SHIPPING AND DELIVERY
Shipping Arrangements
We coordinate shipping through reputable freight forwarders. Standard shipping terms are FOB Nigerian port unless otherwise agreed.
Delivery Timelines
Estimated delivery timelines are provided based on typical processing and shipping durations but are not guaranteed. Delays may occur due to factors beyond our control including weather, port congestion, customs procedures, or shipping line schedules.
Risk Transfer
Under FOB terms, risk transfers to the buyer once goods are loaded on the vessel at the Nigerian port of export.
Shipping Documents
We provide all necessary export documents including commercial invoice, packing list, bill of lading, certificate of origin, phytosanitary certificates (where applicable), and quality certificates.
9. RETURNS AND CANCELLATIONS
Order Cancellations
Once an order is accepted and processing has begun, cancellations may not be possible. If cancellation is accepted, the buyer may forfeit the deposit or incur cancellation fees covering costs already incurred.
Returns
Due to the nature of international export transactions, returns are generally not accepted. Quality disputes are handled through claims investigation and appropriate remedies as determined on a case-by-case basis.
10. LIMITATION OF LIABILITY
Service Limitations
While we strive for excellence, we cannot guarantee uninterrupted service, error-free operations, or that all defects will be corrected. Our services and products are provided “as is” without warranties of any kind, express or implied.
Liability Limits
Our liability for any claim arising from our services or products is limited to the value of the specific transaction giving rise to the claim. We are not liable for:
- Indirect, incidental, or consequential damages
- Lost profits or business opportunities
- Delays caused by third parties or force majeure events
- Damages arising from buyer’s use or resale of products
- Claims made after the specified claim period
Force Majeure
We are not liable for failure to perform obligations due to circumstances beyond our reasonable control including natural disasters, war, civil unrest, government actions, strikes, pandemics, or other force majeure events.
11. INTELLECTUAL PROPERTY
All content on our website including text, graphics, logos, images, and software is the property of Sanafi Export and Trading Limited or our licensors and is protected by Nigerian and international intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from our website content without prior written permission.
12. CONFIDENTIALITY
Both parties agree to keep confidential any proprietary business information shared during negotiations or transactions, including pricing information, supplier details, and business strategies. This obligation continues after the termination of the business relationship.
13. DISPUTE RESOLUTION
Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
Negotiation
In the event of any dispute arising from these Terms or business transactions, parties agree to first attempt resolution through good-faith negotiation.
Arbitration
If negotiation fails, disputes will be resolved through arbitration in Lagos, Nigeria, under the rules of the Lagos Chamber of Commerce International Arbitration Centre, unless otherwise agreed by both parties.
Jurisdiction
For matters not subject to arbitration, parties submit to the jurisdiction of Nigerian courts.
14. GENERAL PROVISIONS
Entire Agreement
These Terms, together with any written agreements, purchase orders, and our Privacy Policy, constitute the entire agreement between parties regarding the subject matter.
Modifications
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of our services after changes constitutes acceptance.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to affiliated entities or business successors.
